End-User License Agreement (EULA) of PRO.SMS
This End-User License Agreement («EULA») is a legal agreement between you and Proyectanda
This EULA agreement governs your acquisition and use of our PRO.SMS software («Software») directly from Proyectanda or indirectly through a Proyectanda authorized reseller or distributor (a «Reseller»).
Please read this EULA agreement carefully before completing the installation process and using the PRO.SMS software. It provides a license to use the PRO.SMS software and contains warranty information and liability disclaimers.
If you register for a free trial of the PRO.SMS software, this EULA agreement will also govern that trial. By installing and/or using the PRO.SMS software, you are confirming your acceptance of the Software and agreeing to become bound by the terms of this EULA agreement.
If you are entering into this EULA agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these terms and conditions. If you do not have such authority or if you do not agree with the terms and conditions of this EULA agreement, do not install or use the Software, and you must not accept this EULA agreement.
This EULA agreement shall apply only to the Software supplied by Proyectanda herewith regardless of whether other software is referred to or described herein. The terms also apply to any Proyectanda updates, supplements, Internet-based services, and support services for the Software, unless other terms accompany those items on delivery. If so, those terms apply.
License Grant
Proyectanda hereby grants you a non-transferable, non-exclusive licence to use the PRO.SMSsoftware on your Bitrix24 in accordance with the terms of this EULA agreement.
You are permitted to install the PRO.SMS software under your control. You are responsible for ensuring your Bitrix24, internet browser and necessary software meet the minimum requirements of the PRO.SMS software.
You are not permitted to:
- Edit, alter, modify, adapt, translate or otherwise change the whole or any part of the Software nor permit the whole or any part of the Software to be combined with or become incorporated in any other software, nor decompile, disassemble or reverse engineer the Software or attempt to do any such things
- Reproduce, copy, distribute, resell or otherwise use the Software for any commercial purpose
- Allow any third party to use the Software on behalf of or for the benefit of any third party
- Use the Software in any way which breaches any applicable local, national or international law
- use the Software for any purpose that Proyectanda considers is a breach of this EULA agreement
Intellectual Property and Ownership
Proyectanda shall at all times retain ownership of the Software as originally downloaded (installed) by you and all subsequent downloads (installations) of the Software by you. The Software (and the copyright, and other intellectual property rights of whatever nature in the Software, including any modifications made thereto) are and shall remain the property of Proyectanda.
Proyectanda reserves the right to grant licences to use the Software to third parties.
Termination
This EULA agreement is effective from the date you first use the Software and shall continue until terminated. You may terminate it at any time upon written notice to Proyectanda.
It will also terminate immediately if you fail to comply with any term of this EULA agreement. Upon such termination, the licenses granted by this EULA agreement will immediately terminate and you agree to stop all access and use of the Software. The provisions that by their nature continue and survive will survive any termination of this EULA agreement.
Governing Law
This EULA agreement, and any dispute arising out of or in connection with this EULA agreement, shall be governed by and construed in accordance with the laws of Spain.

Este Acuerdo de licencia de usuario final («EULA») es un acuerdo legal entre usted y Proyectanda
Este acuerdo EULA rige su adquisición y uso de nuestro software PRO.SMS («Software») directamente de Proyectanda o indirectamente a través de un revendedor o distribuidor autorizado de Proyectanda (un «Revendedor»).
Lea detenidamente este acuerdo EULA antes de completar el proceso de instalación y utilizar el software PRO.SMS . Proporciona una licencia para usar el software PRO.SMS y contiene información sobre la garantía y exenciones de responsabilidad.
Si se registra para una prueba gratuita del software PRO.SMS , este acuerdo EULA también regirá esa prueba. Al instalar y/o usar el software PRO.SMS , usted confirma su aceptación del Software y acepta estar sujeto a los términos de este acuerdo EULA.
Si está celebrando este acuerdo EULA en nombre de una empresa u otra entidad legal, declara que tiene la autoridad para obligar a dicha entidad y sus afiliados a estos términos y condiciones. Si no tiene dicha autoridad o si no está de acuerdo con los términos y condiciones de este acuerdo EULA, no instale ni use el Software, y no debe aceptar este acuerdo EULA.
Este acuerdo EULA se aplicará únicamente al Software suministrado por Proyectanda en el presente, independientemente de si se hace referencia o se describe otro software en este documento. Los términos también se aplican a las actualizaciones, suplementos, servicios basados en Internet y servicios de soporte de Proyectanda para el Software, a menos que otros términos acompañen a esos elementos en el momento de la entrega. si es así, se aplican esas condiciones.
Concesión de licencia
Por la presente , Proyectanda le otorga una licencia no transferible y no exclusiva para usar el software PRO.SMS en su Bitrix24 de acuerdo con los términos de este acuerdo EULA.
Se le permite instalar el software PRO.SMS bajo su control. Usted es responsable de asegurarse de que su Bitrix24, su navegador de Internet y el software necesario cumplan con los requisitos mínimos del software PRO.SMS .
No se le permite:
- Editar, alterar, modificar, adaptar, traducir o cambiar de otro modo la totalidad o parte del Software ni permitir que la totalidad o parte del Software se combine o se incorpore a cualquier otro software, ni descompilar, desensamblar o aplicar ingeniería inversa al Software o intento de hacer tales cosas
- Reproducir, copiar, distribuir, revender o utilizar el Software para fines comerciales
- Permitir que cualquier tercero use el Software en nombre o en beneficio de cualquier tercero
- Usar el Software de cualquier manera que infrinja cualquier ley local, nacional o internacional aplicable
- usar el Software para cualquier propósito que Proyectanda considere que es una violación de este acuerdo EULA
Propiedad Intelectual y Propiedad
Proyectanda conservará en todo momento la propiedad del Software tal como usted lo descargó (instaló) originalmente y todas las descargas (instalaciones) posteriores del Software realizadas por usted. El Software (y los derechos de autor y otros derechos de propiedad intelectual de cualquier naturaleza en el Software, incluidas las modificaciones realizadas al mismo) son y seguirán siendo propiedad de Proyectanda .
Proyectanda se reserva el derecho de otorgar licencias de uso del Software a terceros.
Terminación
Este acuerdo EULA entra en vigencia a partir de la fecha en que usa el Software por primera vez y continuará hasta que se rescinda. Puede rescindirlo en cualquier momento mediante notificación por escrito a Proyectanda .
También terminará inmediatamente si no cumple con cualquier término de este acuerdo EULA. Tras dicha rescisión, las licencias otorgadas por este acuerdo EULA se rescindirán inmediatamente y usted acepta detener todo acceso y uso del Software. Las disposiciones que por su naturaleza continúen y sobrevivan sobrevivirán a cualquier rescisión de este acuerdo EULA.
Ley que rige
Este acuerdo de EULA, y cualquier disputa que surja de o en relación con este acuerdo de EULA, se regirá e interpretará de acuerdo con las leyes de España.
